Subject to your compliance with these Terms, Koreflow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site solely for your own informational or internal business evaluation purposes.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, publicly display, publicly perform, republish, or create derivative works based on any part of the Site without Koreflow's prior written consent.

If you submit any feedback, ideas, or suggestions regarding the Site or Koreflow's products through a contact form or otherwise ("Feedback"), you grant Koreflow a non-exclusive, royalty-free, worldwide, perpetual license to use and incorporate that Feedback for any purpose, without obligation or compensation to you. Do not submit any information through the Site that you consider confidential unless we have first entered into a separate agreement covering that information.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. KOREFLOW DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT ON THE SITE (INCLUDING PRODUCT CAPABILITIES, PRICING, OR AVAILABILITY INFORMATION) IS CURRENT, COMPLETE, OR ACCURATE. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS AT YOUR OWN RISK, AND ANY ACTUAL PRODUCT CAPABILITIES, PRICING, OR COMMITMENTS WILL BE GOVERNED SOLELY BY A SEPARATE SIGNED AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOREFLOW AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KOREFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO ANY SEPARATE SIGNED AGREEMENT BETWEEN KOREFLOW AND A CUSTOMER, WHICH SHALL GOVERN LIABILITY WITH RESPECT TO THE SERVICE.
You agree to indemnify, defend, and hold harmless Koreflow and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.
This Section 10 applies only to disputes arising out of or relating to your use of the Site and these Terms. It does not apply to any dispute arising under a separate signed agreement between Koreflow and a customer (including any MSA, Order Form, POC Agreement, or DPA), which shall be governed by that agreement's own dispute resolution provisions.
Any dispute within the scope of this Section 10 shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted by a single arbitrator in Delaware, rather than in court, except that either party may bring an individual claim in small claims court where eligible, and either party may seek injunctive relief in court for misuse of intellectual property or violation of Section 3 (Acceptable Use).
To the extent permitted by applicable law, disputes within the scope of this Section 10 must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this class action waiver is found unenforceable as to a particular dispute, that dispute shall proceed in court rather than in arbitration, and the remainder of this Section 10 shall remain in effect.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles, except as otherwise required by Section 10.
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Koreflow regarding use of the Site.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver. Koreflow's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment. You may not assign these Terms without Koreflow's prior written consent. Koreflow may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. Koreflow shall not be liable for any failure or delay in the operation of the Site resulting from causes beyond its reasonable control.
